§ 1 Subject and scope
The contractor provides digital guest acquisition services to the client in the scope selected. Setup is a one-off service; care is ongoing. Details follow from the overview below and the attached General Terms and Conditions.
§ 2 Fees and payment
All amounts are net. As the contractor is established outside the EU, invoices are issued without German VAT; the tax is owed by the client under the reverse charge procedure. The setup fee is due half on signature and half on handover. Monthly care is invoiced in advance, payable within 14 days. Advertising budgets for Google, Meta or comparable platforms are not included and are borne directly by the client.
§ 3 Client's cooperation
The client provides access to the Google Business Profile and other relevant accounts, current menus and prices, opening hours including holidays, and one contact person authorised to decide. If a request for sign-off goes unanswered for 14 days, the draft is deemed approved. Delays caused by missing cooperation extend deadlines and do not affect the fee.
§ 4 Outcome, rights, term
The contractor works to professional standards but does not owe a specific outcome such as rankings, review counts, reservations or revenue. On full payment the client receives an unlimited right of use to the content created for it; the contractor's tools and templates remain its property. Monthly care may be cancelled with 30 days' notice to month end, in the case of a minimum term at the earliest to its end. German law applies; the General Terms and Conditions apply in addition and are acknowledged by the client's signature.
